Terms of Service

These Terms of Service (“Terms”) govern access to and use of VendMetric™ (the “Service”), provided by Enterprise Professional Systems, LLC (“EPSReady,” “we,” “us”). VendMetric™ and VIS™ are trademarks of QuVal Holdings. By accessing or using the Service, you agree to these Terms.

1. Accounts

You must provide accurate information when creating an account and are responsible for activity under your account and credentials.

2. Subscription & Payment

Paid plans are billed in advance on a recurring basis as described at checkout or in your order form. Fees are non-refundable except as required by law or expressly stated.

3. Customer Data

You retain ownership of the vendor and document data you submit to the Service (“Customer Data”). You grant us a license to host, process, and display Customer Data solely to provide the Service, including processing documents through third-party AI providers for extraction purposes.

4. Acceptable Use

You agree not to:

• Use the Service to violate any applicable law.
• Upload documents you do not have the right to upload.
• Attempt to gain unauthorized access to another organization’s data.
• Reverse engineer or interfere with the Service’s operation.

5. AI-Generated Output

Document extraction, the Vendor Intelligence Score (VIS™), and related recommendations are generated with the assistance of AI and are provided to support — not replace — your organization’s own compliance judgment. You are responsible for verifying extracted data before relying on it for compliance or legal decisions.

6. Intellectual Property

The Service, including the VendMetric™ and VIS™ marks and all underlying software, is owned by QuVal Holdings and its licensors. These Terms do not grant you any rights to our trademarks or branding.

7. Termination

Either party may terminate an account as described in the applicable order form. Upon termination, we will make Customer Data available for export for a limited period before deletion.

8. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, EPSReady and QuVal Holdings shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance.
